Skills Outpost Terms of Use

Version 2.4 — Effective October 9, 2026

These Terms of Use ("Terms") are a binding agreement between you and Titan Synergy Management Inc., doing business as Skills Outpost ("Titan Synergy," "Skills Outpost," "we," "us," or "our"), a British Columbia, Canada company, governing your access to and use of the Skills Outpost service available at https://skillsoutpost.com (the "Service"). You accept these Terms by checking the acceptance box when you create an account, or, if you already have an account, by confirming your acceptance when we ask you to after you sign in — including the disclaimers and limits on our liability in Sections 16 and 17, the indemnity in Section 18, the Verification Plan terms in Section 19, and the governing-law and forum terms in Section 22. Continuing to use the Service does not, by itself, constitute acceptance. If you do not agree, do not use the Service.

1. Definitions

• "Service" means the Skills Outpost website and related functionality made available at skillsoutpost.com.
• "Content" means any listing, description, review, reply, package file, report, access request, or other material a User submits to the Service.
• "Listing" means a public page describing a creator-provided agent or skill.
• "Creator" means a User who publishes a Listing.
• "Package" means a ZIP archive containing only the files the Package Rules permit — instruction and configuration files and, where the Package Rules allow them, readable source files; binaries are prohibited — that a Creator submits for review and, if approved, makes available through a Listing.
• "Version" means one specific, immutable release of a Package, identified by the version string the Creator provides.
• "Library" or "My Library" means the private, account-specific area where a User's added versions appear and can be downloaded, subject to these Terms.
• "Acquirer" means a User who has accepted the Creator license for a specific Version and acquired it under Section 6.
• "Package Rules" means the submission rules published at /package-rules, identified by version. Changes to the Package Rules follow Section 21. Each submission remains associated with the rules in effect when it was submitted; later rules do not retrospectively change an Acquirer's accepted Creator license, although Section 13 permits restrictions on future delivery of a Package.
• "Access Request" means a request a User sends to a Creator through the Service, and "Handoff" means a subsequent arrangement between that Creator and requester outside the Service.
• "AI Assistant" means any automated tool or agent that interacts with the Service, whether through a User's own signed-in browser session or as a Connected App.
• "Connected App" means an AI Assistant application (for example, an assistant app on the web or on a phone) that you have authorized, on a Skills Outpost consent page, to read your Library and the files of versions you have acquired, using a revocable credential we issue to that application.
• "Administrator" or "moderator" means a person we authorize to review Listings, Packages, and reports.
• "Verification Plan" means a paid monthly subscription, described in Section 19, that gives a Creator a number of Review Units each billing period.
• "Review Unit" means the right to one Verification Review of one Subject.
• "Verification Review" means the review we perform, under the process in effect at the time, of one Subject that a Creator submits under a Verification Plan.
• "Subject" means either one released Version of a Package, or, for an agent that is not hosted on the Service, the public source repository linked from its Listing at one exact commit.
• "Verified badge" means the mark "Verified" that we display for a Subject that passed a Verification Review, together with the Subject it applies to and the date of that review.
• "You" or "User" means any person who accesses or uses the Service.

2. Eligibility and Accounts

Who can use the Service. You must be at least 18 years old, or the age of majority where you live if that is older, and have the legal capacity to enter into a binding contract, to create an account or use the Service. If you use the Service on behalf of an organization, you confirm you have authority to bind that organization, and "you" then includes it.

One account per person. You may hold only one Skills Outpost account. Use your own account; you may act for an organization only with its authorization as described above. Do not impersonate another person or create additional accounts to evade a limit, a restriction, or these Terms. Keep your account information accurate and take reasonable steps to protect your sign-in access. You are responsible for an action you authorize through your account; this does not make you responsible for activity caused by our breach of these Terms or applicable law.

Sign-in methods. You sign in using a one-time link we email to your address; Skills Outpost does not use account passwords. If available, you may also connect a Google account as an additional way to sign in. Connecting Google does not change your account email — you will be shown a confirmation screen naming both addresses before the connection takes effect, and it adds a second way to reach the same account rather than creating a new one.

Sessions and account security. A new sign-in can stay active on a browser for a limited period; signing in on one browser does not end a session on another. You can review and end other active sign-ins from your account security settings. We may require you to re-authenticate before completing a sensitive action, such as deleting your account or ending other sessions. You are responsible for keeping your email account and your signed-in devices secure, and for telling us promptly if you believe your account has been accessed without your authorization.

Our right to suspend or disable. We may pause or restrict a Listing or block delivery of a Package as described in Section 13. Where we need to suspend, restrict, or close an account, we do so as described in Section 14.

3. The Service — What It Is, and What It Is Not

Skills Outpost is a catalog and coordination platform where Creators describe agents and skills, and Users can browse, compare, review, and — where a Creator offers an approved free version — acquire and download a specific Package version. Skills Outpost does not issue credentials that authenticate you to a Creator-operated tool or service.

Installation and permissions. Adding a version to My Library and downloading it gives you the file. Any installation, execution, and tool permissions in environments you or your chosen client select for your own use are your responsibility and your chosen client's responsibility.

Human review has real limits. Where a Package is submitted for release, an independent human reviewer checks declared rights, licensing, permissions, and required disclosures before it can be released. This review reflects what was checked, under the process in place, at that time. It provides no warranty or guarantee of safety, security, compatibility, or performance. A check or review does not establish that a Package is free of malware or hidden risk.

Nothing on the Service is a safety claim, warranty, guarantee, or endorsement. A published Listing, a released Package, an "approved" status, a Verified badge, a star rating, a completed review, or a confirmed Handoff is not a representation, warranty, guarantee, or endorsement by Skills Outpost that any agent, skill, Creator, or outcome is safe, secure, free of malicious code or vulnerabilities, effective, accurate, lawful, compatible, or fit for any particular purpose. A Verified badge means only what Section 19 says it means, for the one Subject and date it names. Ratings and reviews by Users reflect their personal, self-reported experience; email verification confirms control of an email address, not a User's identity, qualifications, or the truth of what they write.

Creators control their own relationships. Where a Listing points you to a Creator's own website, or uses an Access Request that the requester confirms by email, the Creator — not Skills Outpost — controls onboarding, support, and their own terms for that relationship. Check those terms before sharing data with, or using a tool from, a Creator.

Paid Verification Plans; no other payments. Where Verification Plans are offered, Creators may buy one as described in Section 19. Apart from Verification Plans, this version of the Service does not process payments, run subscriptions, or issue payouts. The only credentials it issues to an AI Assistant are the revocable, read-only Connected App credentials described in Section 9.

4. Creator Content: Listings and Packages

Ownership. You retain ownership of everything you submit.

Listings. Public Listing fields are for descriptions only — the intended outcome, supported environment, version, setup, external costs, permissions, usage rights, data practices, and limitations. Describe these accurately. Do not state or imply Skills Outpost's warranty, guarantee, or endorsement of a Listing, Package, Creator, or outcome. Do not make any claim about Skills Outpost's assessment of any of them, except that while a Verified badge is active you may state that the exact Subject it names was "Verified by Skills Outpost" on the date shown, if you name that Version or commit and link to its Listing on the Service, without stating or implying anything more than Section 19 describes, and never for another Version, commit, deployment, or product. Keep your Listing current, or pause it, if it is no longer accurate or available. Do not put source code, system or developer prompts, API keys or other credentials, private endpoints, customer data, or other confidential or personal information into a Listing field.

Profile logo. You may add a logo to your public profile. Upload only an image you have the right to use, and do not use another company's or person's name, logo, or likeness in a way that suggests a connection, endorsement, or identity that does not exist. We may hide a logo that breaks these Terms, or while we assess a report that it infringes someone's rights, as described in Section 13.

Packages. Where package upload is enabled for an eligible Listing, submit your Package through the separate package form, not in a Listing field, and follow the Package Rules in effect at the time, including their format, size, and content limits. We may reject, delay, or rate-limit a submission to enforce the Package Rules or to manage review capacity, subject to applicable law. Do not include secrets, private prompts, credentials, personal data, or real customer data in a Package. Any change to submitted bytes requires a new version and a fresh review.

5. License You Grant Us; Your Warranties as a Creator

Listing license. By submitting a Listing, you grant Titan Synergy a worldwide, non-exclusive, royalty-free license to host, store, and publicly display that Listing's metadata (name, description, compatibility, setup, limitations, and related fields) with your attribution, consistent with the visibility and moderation status that applies to it. This license does not transfer ownership of your work.

Review and moderation license. By submitting Content, including a Package or a Subject, you grant Titan Synergy a limited, non-exclusive license to store, copy, analyze, and run or execute that Content in controlled environments, solely as necessary to review or moderate that Content, perform a Verification Review you request, and keep records of those activities. Service providers acting solely on our behalf under confidentiality obligations may exercise these rights for the same purposes and subject to the same limits; this grants them no independent rights. This license permits no other use and no publication of non-public files. All review, moderation, Verification Review, and recordkeeping rights in this Section are subject to its withdrawal limits, Section 14, and the purposes and retention limits in Sections 4 and 9 of our Privacy Policy. From the time you accept this version of these Terms, this license also covers Content you submitted earlier.

Profile logo license. If you add a profile logo, you grant Titan Synergy a worldwide, non-exclusive, royalty-free license to store and copy it, rebuild the image file without its embedded metadata, and publicly display it on the Service with your profile, your Listings, and links to those pages, until you remove it or delete your account. Service providers acting on our behalf may perform these operations for us; this license does not authorize their independent use of your logo. You represent and warrant that you own the logo or have the right to grant this license, and that it does not infringe anyone's rights or impersonate anyone.

Package license. Where you submit a Package, you additionally grant Titan Synergy a worldwide, non-exclusive, royalty-free license to: store it privately; reproduce it as needed for review, moderation, and any Verification Review you request; make the exact reviewed version available for download to Users who have accepted the applicable license and any acquisition conditions disclosed before acceptance; and keep and back up copies for moderation, security, audit, and operation of the Service, as described in our Privacy Policy. The licenses granted to Titan Synergy authorize only the hosting, review, moderation, recordkeeping, and delivery described here. Except for Titan Synergy and service providers acting solely on its behalf under the restrictions above, these licenses grant no person a right to execute, install, or run the Package; providers receive no independent right to use it. An Acquirer's rights to use a Package arise under the separate Creator license and applicable third-party licenses. If your Listing is later paused, if that version is withdrawn under this Section or the Package Rules, or if your account is later closed, our Package license continues only as needed to retain files and records within the purposes and retention limits in Sections 4 and 9 of our Privacy Policy, to keep a download already delivered to another User's My Library intact for that User and, where we remain entitled to do so, to deliver the exact version to other existing Acquirers, consistent with Section 14; it does not authorize distribution contrary to a license, court order, or other legal obligation. Your Creator attribution on a retained download may be replaced with a generic label, consistent with Section 14, but this does not authorize removal of a copyright, license, or attribution notice required by applicable licenses or law, and does not necessarily remove identifying information from the Package's files, metadata, or required notices.

Verification Review license. When you submit a Subject for a Verification Review, you grant Titan Synergy a limited, worldwide, non-exclusive, royalty-free license to copy, store, analyze, and process that Subject and its declarations, including to run or execute that Subject in controlled environments solely for the review — including through service providers acting on our behalf under confidentiality obligations — to perform the review, to keep a record of what was reviewed and the result, and to display the Verified badge and the Subject and date it applies to. Except for Titan Synergy and service providers acting solely on its behalf under the restrictions above, this license grants no person a right to execute, install, or run the Subject; providers receive no independent right to use it, and this license does not authorize publication of its non-public files.

Your warranties. By submitting a Listing, a Package, or a Subject for a Verification Review, you represent and warrant that: (a) you own or otherwise have the right to share the metadata, descriptions, and files you submit, and to grant the licenses above; (b) your disclosures — including permissions, network access, dependencies, licensing, compatibility, and costs — are accurate and complete; you will use "none" or "not applicable" only when accurate, and will identify uncertainty explicitly, since a blank required field is an incomplete disclosure; (c) if you submit a Package, it does not contain secrets, credentials, private prompts, personal data, or confidential information belonging to anyone else, it complies with the Package Rules in effect when you submit it, and you have the rights needed to redistribute every file in it, including any required license notices; and (d) a Subject you submit for a Verification Review is complete, is the exact Version or commit you identify, is one you have the right to submit for that review, is not designed to mislead, evade, or manipulate the review, and does not contain secrets, credentials, or another person's confidential or personal information that you do not have the right to share for that review.

Withdrawal. You may withdraw a Package version at any time from your Packages page. Withdrawal stops new acquisitions and further review of that version. We may retain the underlying files and review records. Users who already acquired the version before withdrawal keep their existing access unless we block it for safety reasons under Section 13.

6. Acquiring and Using a Free Package

Acquiring a version. Where a Listing has an approved free version, you must sign in, accept the Creator license displayed for that exact version before downloading it, and, if the offer requires it, follow the Creator. The acquisition screen explains what following does and what information, if any, the Creator receives. Following a Creator does not, by itself, authorize a charge or constitute consent to marketing messages from us or the Creator; a commercial electronic message we send must meet applicable consent, sender-identification, contact-information, and unsubscribe requirements.

Whose license governs. The license you accept at that point is the Creator's own license for that specific version — it is not a license from Skills Outpost, and we are not a party to it. The Creator sets, and is responsible for, its terms. Read it before you accept it, and use the Package only as it permits. Do not redistribute, sublicense, or share the Package beyond what that license allows. By offering a version, the Creator offers its displayed license directly to eligible Acquirers and authorizes Skills Outpost to present that offer on the Creator's behalf. Only acquisition conditions disclosed before your acceptance apply. The license you accept identifies its licensor and the exact Package version; a later edit to the Listing or another release does not itself change a license you already accepted. These Terms govern your access to the Service; the Creator's license governs your use of the Package. Neither the Creator's license nor any acquisition condition can impose an obligation on Titan Synergy or reduce a right you have against Titan Synergy that applicable law makes mandatory.

Downloading is not installing. Downloading a version provides you the file only. Installing it, and granting or restricting any permissions it requests, is your decision and your responsibility. Repeated downloads of the same version do not create additional purchases, licenses, or reviews.

Availability can change. Unfollowing a Creator does not remove a version you already added to your Library. We may still block delivery of a version — including one you already acquired — where we believe it is necessary for safety, legal, or rights reasons, as described in Section 13. A Creator's withdrawal stops new acquisitions but does not remove a version you already acquired, unless that version is separately safety-blocked.

A request or handoff is not a purchase. Acquiring a free version, sending an Access Request, following a Creator, or reporting a completed Handoff is not a purchase, and is not a platform guarantee that you will receive support, updates, or a working product from the Creator. None of these activities involves a payment to Skills Outpost. Nothing in this Section excludes a remedy or compensation available to you under applicable law.

7. Access Requests and Handoff

Where a Listing is not available through a free downloadable offer, you may submit an Access Request to its Creator, consenting to share your contact and request details with that Creator once you verify your email address. A request, and any later self-reported "handoff confirmed" status, is a record of what you and the Creator each reported — it is not a purchase, not a platform-verified transaction, and not a safety or performance guarantee. The private link used to check a request's status is not itself password protected; anyone holding it can view the request, so treat it as sensitive and do not share it. Titan Synergy is not a party to, and has no responsibility for, the substance of any access, onboarding, support, or agreement that a Creator and requester reach off-platform.

8. Reviews, Comments, Likes, and Conduct

Rate what you have used. Rate and review only a product you have actually tried, from an account with no undisclosed conflict of interest and that has received no incentive for the review. Do not review your own or a collaborator's Listing, trade incentives for ratings, post spam, or otherwise try to manipulate ratings or reputation. A verified email proves address control, not product use.

What is shown publicly. Your display name, star rating, review text, and declared product version are public. Before you submit a review, the review form identifies which fields will be public. Do not include personal data, credentials, or confidential content in a review.

Creator replies. A Creator may reply publicly to a review. A Creator cannot remove or hide a review themselves.

Comments and likes. A signed-in User may comment on a Listing, reply to a comment, and like a Listing. Comments are public with your display name; a Creator or collaborator commenting on their own Listing is labelled as such. The number of likes a Listing has is public, but we do not show who liked it. Removing your like, or deleting your account, removes it from that number. Do not post spam, repetitive or off-topic comments, or comments meant to manipulate a Listing's reputation, and do not use multiple accounts, automation, or incentives to inflate likes, comments, or downloads. If you reply beneath another person's comment, your reply is deleted if that person deletes their account.

License for reviews and comments. You keep any rights you have in your reviews, comments, and replies. You grant Titan Synergy a worldwide, non-exclusive, royalty-free license to host, store, copy, format, and display them on the Service, including through service providers acting on our behalf, solely to operate and moderate the Service. When you delete a comment, it is no longer shown publicly; we keep its text and edit history only as described in our Privacy Policy.

Download totals. A Listing shows how many times its packages have been downloaded through the Service: each download the Service authorizes from a User's Library counts, including repeat downloads. The total does not count unique people and does not show that a Package was installed, used, or any good. Deleting an account does not reduce it. We do not show who downloaded a Listing.

Hiding and appeals. We may hide a review or comment for a stated reason, such as spam, an undisclosed conflict of interest, abuse, or being off-topic, and we record that decision. We may reconsider a moderation decision after reviewing a report or appeal. If your own review or comment is hidden, you may send us a written appeal asking us to reconsider it; that is currently the Service's formal appeal process for reviews and comments. Restoring hidden content is not guaranteed.

Reporting. Anyone, including a signed-out visitor, may report a Listing they believe is misleading, abusive, spam, or infringes someone's rights, using the report form on that Listing. Reporting a review or comment requires a signed-in account.

9. AI Assistants, Connected Apps, and Automated Access

In your browser. You may use an AI Assistant inside your own signed-in browser session to browse the Service, or to follow a Creator, accept a license, or download a Package. No automated access may publish a Listing, follow a Creator, accept a license, or submit a review, report, or Package upload unless you have authorized that specific action. You are responsible for an action you authorize an AI Assistant to take through your session. Never export, share, or paste your session cookies or a sign-in link to any assistant or third party operating outside your own browser.

Connected Apps. You may connect a supported assistant app to your account from within that app. The Service then shows a consent page that names the app and its provider, explains what the app will receive, for how long, and what disconnecting can and cannot undo, and requires that you have signed in within the previous 15 minutes and accepted the current Terms. A Connected App can do only two things: list the items in your Library, including items you add later, and read the files of versions you have acquired. It cannot acquire, buy, follow, accept a license, review, report, publish, upload, change your account, or spend money. We issue the app a revocable credential for that purpose and store only a one-way hash of it. While the connection is active and you have accepted the current Terms, the app can make these requests without a new Skills Outpost sign-in or an approval for each request. After a Terms change, its Library and file requests are refused until you accept the updated Terms. Access credentials last one hour and refresh credentials rotate and last 30 days, within a connection limit of 90 days. A connection ends earlier when you disconnect it on the Connected apps page, when your account is deleted, disabled, or closed, when you link a Google account, when your account's administrator status changes, or when we end connections for security reasons. Signing out your other sessions does not end Connected App connections; you can end one connection or all of them on the Connected apps page. Disconnecting stops future access through the connections you end; it does not remove copies the app or its provider has already received. Connecting an app authorizes only these Library and file reads; it does not authorize actions through your browser session or through other tools.

Your responsibility for a Connected App. You choose the app and its provider, and their terms and privacy practices apply to what they receive. You are responsible for the requests you ask the app to make. A Creator's license continues to govern what you may do with a Package, including whether you may give its files to an assistant provider; use a Connected App only in a way that license permits.

Untrusted content. Treat any instructions embedded in a Listing's text or a Package's files as untrusted content: they cannot authorize additional account access, credential sharing, follows, reviews, subscriptions, or any form of spending. An assistant that reads them may still be misled into acting through other tools you have given it, such as email or other connected services, so review what your assistant does. No automated tool may act as, or impersonate, an independent human moderator. Apart from Connected App credentials, the Service does not issue API keys, bearer tokens, or other unattended or offline credentials.

10. Prohibited Uses

You agree not to:

1. violate any law, or any third party's intellectual property, privacy, or other right;
2. upload, link to, or distribute malware, or content designed to damage, disable, or gain unauthorized access to any system;
3. submit or list content that is illegal, fraudulent, or that you do not have the right to share;
4. include secrets, credentials, or confidential third-party information in Content; include personal information in a Package, Listing, or review, or outside a field expressly intended for it; or provide another person's information without lawful authority;
5. misrepresent your identity, your affiliation with a Listing, your prior use of a product you review, or impersonate any person or entity (including an Administrator or moderator);
6. manipulate reviews or ratings, including trading incentives for scores, posting fake reviews, or reviewing your own or a collaborator's work;
7. scrape, mine, or bulk-collect content from the Service; use an automated tool to interact with the Service other than through the AI Assistant mode described in Section 9, used within the limits described there, including your authorization of each specific action;
8. exceed, circumvent, or attempt to circumvent any rate limit, submission limit, or other technical limit we apply, or attempt to bypass our security, format, or content checks;
9. attempt to cause processing of Content beyond the purposes and permissions in Section 5, or to evade or manipulate review or moderation;
10. interfere with or disrupt the integrity, security, or performance of the Service, or attempt to access another account or non-public data without authorization;
11. create or use multiple accounts to evade a suspension, a limit, or these Terms; or
12. display, copy, or imitate a Verified badge, or describe anything as "Verified" by Skills Outpost, other than as Section 4 permits for an active badge, or submit content designed to mislead or manipulate a Verification Review.

We may investigate a suspected violation and take any of the actions described in Section 13.

11. Intellectual Property in the Service

Apart from Content submitted by Users, the Service — including its design, text, graphics, and underlying software — is owned by Titan Synergy or its licensors and is protected by applicable intellectual property laws. "Skills Outpost" and any associated logos or marks are our brand identifiers; you may not use them without our prior written permission, except as reasonably necessary to refer to the Service accurately. Except as permitted by applicable law or a license governing the relevant material, you may not copy, modify, reverse-engineer, or create derivative works of the Service's proprietary software or materials, other than Content you are authorized to use under its own license.

12. Copyright Notices (Canada's Notice-and-Notice Regime)

We are a Canadian company. Where sections 41.25 and 41.26 of Canada's Copyright Act (R.S.C. 1985, c. C-42) apply to our role, we comply with their notice-and-notice requirements for copyright complaints about material Users submit.

A statutory notice must be in writing and sent to the contact in Section 23. It must include the claimant's name and address; identification of the work or other subject matter; the claimant's copyright interest or right; location data identifying the material; the infringement claimed; the date and time of the claimed infringement, if relevant; and any other particular the Act requires. It must not include an offer to settle the claimed infringement, a request or demand for payment or personal information concerning it, a reference or link to such an offer, request, or demand, or other content the Act prohibits.

Where section 41.26 applies, we forward a compliant notice electronically as soon as feasible to the person to whom the specified electronic location belongs, and inform the claimant that we have done so, or explain why forwarding was not possible. We retain records permitting that person's identity to be determined for six months from receipt, or one year from receipt if the claimant commences related proceedings and notifies us before the six-month period ends; another legal obligation may require longer retention. Forwarding a notice is not a determination that infringement occurred, and forwarding it does not, by itself, remove the material. We may separately remove or restrict access to material as part of ordinary moderation under Section 13, or as otherwise required by law. Sending a false or bad-faith notice may itself be a breach of these Terms.

13. Moderation, Enforcement, and Appeals

Listings. Administrators can request changes to a Listing, withhold or pause its publication — including on an emergency basis — and moderate reported reviews. A paused Listing must be reviewed again before it can publish.

Reviews and comments. We may hide a review or comment for a stated reason as described in Section 8, and its author may send us an appeal as described there.

Profile logos. We may hide a profile logo that breaks Section 4, or while we assess a report that it infringes someone's rights; the profile then shows initials instead. Anyone may report a logo by writing to legal@skillsoutpost.com and identifying the profile and the concern, and the logo's owner may ask us at the same address to reconsider. A report alone is not a finding of infringement, and restoring a hidden logo is not guaranteed.

Packages. We may decline to release, or block delivery of, a Package version — including a version already in a User's Library — where we believe this is necessary for safety, legal, or rights reasons; where we do this to a Creator's Package, we will give the Creator a plain-language reason. A safety block denies delivery to every account holding that version, including accounts that already acquired it before the block. A Creator's own withdrawal, by contrast, stops new acquisitions but does not remove access already delivered, unless that version is separately safety-blocked.

Verification. We may decline a Verification Review request, and we may revoke or suspend a Verified badge, as described in Section 19.

Accounts. We may suspend, restrict, or close an account as described in Section 14.

What a decision means. A moderation, review, or Verification Review decision reflects what was checked, under the process in place, at the time it was made. It provides no warranty or guarantee that the reviewed Listing, Package, Subject, Creator, or account is safe, accurate, compliant, or fit for any purpose, and disagreement with it alone is not a reason to reverse it.

Reporting and appeals. Use the report form on the relevant Listing to flag misleading content, abuse, or a rights concern; reporting a review requires a signed-in account. If your own review is hidden, Section 8 describes the appeal process for that decision. Outside that process, these Terms do not promise a specific appeal procedure for every moderation decision, but you may always contact us about a decision you believe was made in error using the details in Section 23.

Fees and remedies. Moderation of Listings, reviews, and Packages carries no charge. Fees, Review Units, and refunds for Verification Reviews and Verified badges are governed by Section 19. Nothing in this Section excludes a remedy or compensation available to you under applicable law.

14. Suspension and Termination

By you. You may stop using the Service at any time. You may permanently delete your account from your account settings, after signing in again, by confirming the on-screen deletion request. This is irreversible. Deletion removes your profile, Listings, reviews, saved items, follows, Library access records, connected sign-in identities, and requests or reports tied to your account email, as described on that page. A Package you previously released may remain available to Users who already acquired it, with your Creator attribution replaced by a generic label. We cannot recall email already sent. Deleting your account cancels any Verification Plan: it will not renew, its unused Review Units end, and Verified badges shown on your deleted Listings are removed with them. Deletion does not erase records we must keep for tax, accounting, payment disputes, security, legal compliance, or continued delivery of Packages other Users already acquired; those records may include identifying and billing information, and our Privacy Policy describes how long we keep them.

By us. We may suspend, restrict, or terminate your access to the Service, including for a violation of these Terms or the Package Rules, a legal or safety concern, or extended inactivity, with notice where reasonably practical. Before closing an account solely for inactivity, we will notify you of the action required and the deadline to avoid closure. There is not yet a self-service suspension flow; where we need to disable an account, we do so by direct administrative action. If we close your account, any Verification Plan ends and will not renew.

Survival. Sections that by their nature should continue — including ownership, licenses already granted under Section 5, Section 6 (Acquiring and Using a Free Package), Section 12 (Copyright Notices), disclaimers, limitation of liability, indemnity, amounts owed and the refund terms in Section 19, and governing law — survive the end of your account or these Terms. Account restriction or closure may end access to Service features, including My Library; survival under this Section does not promise continued platform access, and does not, by itself, terminate rights in a copy already downloaded — those rights continue or end under the applicable Creator license and law.

15. Third-Party Sites, Accounts, and Content

The Service links to, and relies on, third-party services you do not control and that Titan Synergy does not control, including a Creator's own website, a Google sign-in you may choose to connect, and any environment where you later install or run a downloaded Package. Creators and independent third-party services are responsible for their own offers, services, and agreements, and their own terms apply to those relationships. This does not exclude Titan Synergy's responsibility for its own conduct, representations, or legal obligations, including obligations concerning a service provider that processes personal information on our behalf.

16. Disclaimers

THE SERVICE, AND EVERY LISTING, PACKAGE, REVIEW, AND OTHER CONTENT ON IT, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT, EXCEPT WHERE SUCH A WARRANTY CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that any Listing, Package, or review is accurate, safe, lawful, or fit for any purpose, or that a defect will be corrected. As described in Section 3, our human release review has stated limits. No check or review provides a warranty or guarantee of legality, safety, security, compatibility, performance, or the accuracy of a Creator's claims, or an endorsement of any Listing, Package, Creator, or review. Verification Reviews are described below and in Section 19.

Verification Reviews can miss things. A Verification Review looks for the kinds of problems described on our Verified page, in the one Subject submitted, at one point in time. It can fail to detect a problem, including one deliberately hidden. That a review did not detect a problem does not, by itself, mean it was performed without care. A Verified badge is not a warranty, guarantee, or insurance of any kind; it does not extend to any other Version, commit, deployment, hosted service, or Creator; and it does not mean the Subject will behave as described on any device or system. You remain responsible for deciding whether to install, run, or rely on any Package or agent, and for the permissions you grant it. Nothing in this section excludes or limits any warranty, guarantee, or right that cannot lawfully be excluded or limited under applicable law, including the consumer protection legislation that applies to you.

17. Limitation of Liability

Subject to the exceptions in this section, and to the maximum extent permitted by law, Titan Synergy will not be liable for any indirect or consequential loss, including loss of profits, data, goodwill, or use, arising from or relating to the Service or these Terms, even if we have been advised of the possibility of such loss. Subject to the same exceptions, if you install, run, or rely on a Package, agent, or repository, you do so at your own risk, including the risk of loss of or damage to a device, system, network, account, or data, and of misuse of any of them by that Package, agent, or repository or by anyone who uses it; this applies whether or not it carried a Verified badge, and Titan Synergy is not liable for that loss, damage, or misuse. Subject to the same exceptions, if you use the Service in the course of a business, Titan Synergy is not liable for a problem a Verification Review did not detect, including one missed through our negligence, other than our gross negligence, wilful misconduct, or fraud. Subject to the same exceptions, our aggregate liability for claims arising from the same event or a series of related events will not exceed the greater of one hundred Canadian dollars (CAD $100) or the total amount, if any, paid for your Verification Plan in the twelve months before the event, whether paid to Titan Synergy or to a seller of record identified at checkout, converted to Canadian dollars at the Bank of Canada exchange rate for each payment date.

Nothing in this section limits or excludes: (a) our liability for death or personal injury caused by our negligence; (b) our liability for fraud or fraudulent misrepresentation; (c) our liability for wilful misconduct, gross negligence, or a breach of a statutory privacy obligation; (d) any liability that cannot be limited or excluded under the laws of British Columbia, including applicable consumer protection legislation; or (e) any other liability that cannot lawfully be limited or excluded. If you are a consumer, this section does not affect any right you have under the consumer protection law that applies to you that cannot be waived, including mandatory remedies concerning our own representations and the quality of our services; for a consumer in Quebec, we do not exclude liability for the consequences of our own acts or those of our representatives.

18. Indemnity

If you use the Service in the course of a business, you will reimburse Titan Synergy for reasonable external legal costs and amounts payable under a final judgment, or a settlement you approve, arising from a third party's claim to the extent caused by: (a) your material breach of these Terms, the Package Rules, or a warranty in Section 5; (b) your infringement of that party's rights through Content you submit, including a Listing, Package, review, reply, or Access Request; (c) your use of the Service in violation of applicable law; or (d) your material misrepresentation about a Subject you submit for a Verification Review, content you submit that is designed to deceive or manipulate a Verification Review, or your display of a Verified badge contrary to Section 4. This obligation excludes loss caused by Titan Synergy's negligence, wilful misconduct, or breach of law, and any liability that cannot lawfully be transferred to you. We will give you prompt written notice of a claim we become aware of, reasonable information about it, and an opportunity to participate in its defense; we will take reasonable steps to mitigate the loss; and we will obtain your written consent before settling a claim for which we seek reimbursement from you.

19. Verification Plans and the Verified Badge

Who sells the plan. Checkout and your receipt identify the seller of your Verification Plan. Unless checkout expressly identifies a Stripe entity as seller of record, the seller is Titan Synergy Management Inc., and Stripe only processes the payment. When a Stripe entity is identified as seller of record, it sells and bills for the plan in its own name under the purchase terms it discloses at checkout, and Titan Synergy performs the Verification Reviews under these Terms. Either way, Titan Synergy remains responsible for its own service, representations, and conduct, and your mandatory rights against either party are unaffected.

Buying a plan. Buying a Verification Plan is optional. Accepting these Terms, creating an account, or acquiring a free Package does not authorize a charge. Before you pay, checkout shows the plan, the number of Review Units it includes each billing period and that they expire at the end of that period, the price, currency, taxes, and total, that the plan renews monthly until you cancel, and how to cancel. You can review and correct your order before you agree to pay, and you agree to recurring charges separately from accepting these Terms. Promptly after you buy, before performance of the services begins, and in any event no later than 15 days after purchase, the seller sends you, by email or in another form you can keep, a copy of the contract, including your order and these plan terms.

Plans and prices. We will not raise the price of, or reduce the Review Units in, a billing period you have already paid for. For a later period, we may change a plan's price or the number of Review Units it includes by emailing you 30 days before the change takes effect, with the new terms and a plain explanation of the change; you can cancel before it takes effect, and if you are a consumer and the change is adverse to you, you may cancel at any time without charge or penalty. We may change the review scope described on our Verified page (linked from checkout and from every badge) for a later billing period in the same way, with the same notice. These are the only plan terms we may change without your acceptance of updated Terms under Section 21, and we will not change the cancellation or refund terms in a way that increases your obligations or reduces ours without that acceptance.

Billing and cancellation. A Verification Plan renews automatically each month until you cancel, and the seller charges the payment method you provide at each renewal. You can cancel at any time using the readily identifiable online cancellation control in your account, or by emailing legal@skillsoutpost.com. Cancelling does not require accepting revised Terms, and it remains available while your account is restricted. Except where the next sentence applies, cancellation stops the next renewal and takes effect at the end of the current billing period; you keep that period's remaining Review Units until then, except that a Review Unit restored because we stopped a review remains available until its stated 30-day deadline unless you delete your account or a legal or safety restriction prevents its use. If you are a consumer, you may cancel a renewal at any time, before or after its renewal date, without charge or penalty; cancelling that renewal takes effect when you request it, and the seller provides any refund applicable law requires. We confirm each cancellation and the date your plan ends. Deleting your account, or our closing it, also stops renewal. If a payment fails, we may pause new Verification Reviews until it is resolved. We will not renew a plan while a restriction we have placed on your account prevents you from using it.

Review Units. Each Verification Review uses one Review Unit when the review starts, whatever its result — pass or fail. Unused Review Units expire at the end of the billing period in which they were granted and do not carry over. Review Units have no cash value and cannot be transferred. An eligible Subject that you submit during a billing period, and that we accept, does not lose its Review Unit because of our queue or processing time, and its review may finish after that period ends without another charge. If we stop a review before completing it for a reason other than your material breach of these Terms, we restore its Review Unit and you have at least 30 days to use it.

Refunds. Fees pay for the Verification Review service, not for a pass. Except where applicable law requires otherwise, fees are not refundable, including for Review Units used or unused, for a partial billing period, for a completed review that does not pass, and for a Verified badge that we later revoke under this Section. Nothing in this Section limits a right you have under applicable consumer protection law, including a right to cancel or to a refund that cannot be waived. Whether you are a consumer depends on that law and the circumstances of your purchase, not on your being a Creator.

Withdrawal for consumers in the EEA and the United Kingdom. If you are a consumer in the European Economic Area or the United Kingdom, you may withdraw from a Verification Plan within 14 days after you buy it, without giving a reason, using the "Withdraw from contract here" function in your account or an unequivocal statement emailed to legal@skillsoutpost.com. We acknowledge your withdrawal by email, with its content, date, and time. We start Verification Reviews during that period only at your express request, which checkout asks for, together with your acknowledgement that, if you withdraw, you must pay an amount proportionate to the Verification Review services actually supplied before you withdrew. If you withdraw, the seller refunds what you paid, less that proportionate amount, within 14 days after receiving your withdrawal, using your original payment method. If we did not give you the required withdrawal information or you did not make that express request, you owe nothing. Starting or completing one Verification Review does not by itself end your right to withdraw from the rest of the plan. Any other withdrawal or cooling-off right that applicable consumer law gives you applies as that law provides.

What we review. You may submit a released Version of your Package, or, for an agent that is not hosted on the Service, the public repository linked from its Listing at one exact commit that you identify. We decide, in our sole discretion, whether a Subject is eligible, and we may decline or stop a Verification Review, including where a Subject exceeds our limits, is not accessible to us, or appears designed to manipulate the review; if we decline before a review starts, no Review Unit is used.

What the Verified badge means. A Verified badge records only that the Subject it names passed our Verification Review, within the scope described on our Verified page, on the date shown. It applies to that exact Version, identified by its checksum, or that exact commit, and nothing else. A review can miss or misjudge a problem. The badge does not mean that the Subject is safe, secure, free of malicious code or vulnerabilities, compatible, or fit for any purpose. The Creator pays for the review, and payment does not guarantee a pass. An agent's operator may run code other than the commit we reviewed, and the badge says nothing about any other commit, deployment, or hosted service. We may improve our internal review methods at any time without reducing the scope described on our Verified page; a change to that scope follows the plan-change rules above and never affects a billing period you have already paid for.

Revocation. We may suspend, revoke, or stop displaying a Verified badge at any time, acting in good faith to keep the badge accurate, to investigate a credible report, to address a safety, legal, or rights concern, or in response to a material breach of these Terms — including if we learn of a problem the review did not detect, or if the reviewed commit is no longer identifiable or accessible. We may act immediately, without advance notice, where that is necessary, and we give you a brief reason as soon as reasonably practicable unless the law prevents it. A later commit to a repository does not by itself affect the badge for the commit we reviewed. If we revoke a badge because our own review reached the wrong result, we restore the Review Unit that review used. Otherwise, revocation does not restore a Review Unit or entitle you to a refund, except where applicable law requires it. Cancelling a Verification Plan does not remove a badge earned from a completed review.

20. Privacy

Our Privacy Policy explains our information practices and your privacy rights. Acceptance of these Terms does not replace any separate notice or consent required by applicable privacy law.

21. Changes to These Terms

We may update these Terms from time to time. When we make a material change, we will post the updated Terms on this page with a new version number and effective date. Changes apply prospectively from their effective date, but before you can continue using account features that require acceptance, we present the updated Terms and ask you to affirmatively confirm your acceptance — the next time you take an action that requires acceptance. Continuing to use the Service does not, by itself, constitute acceptance of a materially changed version; only that confirmation does. If you do not agree to the updated Terms, stop using the Service, and you may delete your account as described in Section 14. You can cancel a Verification Plan without accepting updated Terms, as Section 19 describes.

22. Governing Law and Disputes

These Terms, and any dispute arising from or relating to them or the Service, are governed by the laws of British Columbia and the federal laws of Canada applicable in it, without regard to conflict-of-law principles. Subject to mandatory legal protections and any non-waivable right to bring proceedings elsewhere, disputes will be brought before the courts of competent jurisdiction in British Columbia, Canada, and each party attorns to that jurisdiction. Nothing in these Terms requires arbitration of a dispute, and nothing in these Terms waives your right to participate in a class, collective, or representative proceeding. Nothing in these Terms restricts your right to complain to a regulator. If you are a consumer, choosing British Columbia law does not deprive you of the mandatory protections of another law that would otherwise apply to your contract, including the law of the place where you live, and you may bring proceedings in any court that applicable consumer law entitles you to use.

23. General Provisions

Entire agreement. These Terms, the applicable Package Rules, the plan details shown at checkout, and any supplemental terms you separately accept for a specific feature govern your agreement with us concerning the Service, and supersede any earlier agreement on the same subject. A Creator license governs rights in a specific Package version. Our Privacy Policy explains our information practices and does not limit your statutory rights.

Severability. An unenforceable provision of these Terms will be severed only to the extent legally required; the remaining provisions continue where they can operate without it. Severability does not reduce a mandatory right or remedy.

No waiver. Our failure to enforce a provision is not a waiver of it.

Mandatory rights. Nothing in these Terms excludes, restricts, or modifies a right, remedy, or obligation that applicable law does not permit us to exclude, restrict, or modify. This applies to every disclaimer, limitation, indemnity, and other provision in these Terms, including where the Business Practices and Consumer Protection Act (British Columbia) applies.

Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of the relevant business if the successor assumes the applicable obligations. Assignment does not itself release an accrued obligation or authorize handling personal information contrary to applicable law.

Relationship of the parties. Creators are independent of Titan Synergy; nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you, us, or any Creator.

Third parties. These Terms do not create additional rights for anyone other than you and us. A Creator's and an Acquirer's separate license accepted under Section 6 remains directly enforceable between them according to that license and applicable law.

Force majeure. We are not liable for a delay or failure caused by something reasonably beyond our control.

Language. These Terms and our Privacy Policy are available in English and in French. Before a resident of Quebec buys a Verification Plan, we present the French version first, and the English version applies to that purchase only if you expressly choose it after receiving the French version; receiving the French version costs nothing and does not disadvantage you. No language-precedence provision in these Terms limits a mandatory legal right.
